End User License Agreement

This End User License Agreement ("EULA") is a legal contract between you ("Licensee") and MVNO Alliance, Inc. ("Licensor") governing your use of the MVNO Alliance software ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by this EULA.

1. License grant

Subject to your payment of the applicable license fee and your compliance with this EULA, Licensor grants you a non-exclusive, non-transferable, perpetuallicense to install and run the Software on infrastructure you control, up to the user count and feature set specified by your license key.

2. Tiers and limits

  • Starter — up to 5,000 active lines · full billing suite, customer portal, CPNI/E911/USF, mock adapters · 90 days email support
  • Growth — up to 50,000 active lines · everything in Starter plus real carrier adapters, margin reconciliation, migration import, 1-year support
  • Enterprise — unlimited lines · everything in Growth plus source code license, white-label rights, SSO/SCIM, all carrier adapters, 2-year SLA

Your license key encodes your tier and user limit. Operating in excess of your limit triggers a warning banner; it does not lock you out. If your team grows past your tier, please upgrade — contact [email protected].

3. Updates and support

Your license includes a period of free updates and email support as listed above. After that period, updates and support continue to be available at our standard renewal rate (currently 20% of the original license fee per year). Existing installs continue to work indefinitely without renewal — only future updates and support require an active maintenance contract.

4. Ownership and restrictions

The Software and all intellectual property in it remain the property of Licensor. You may not:

  • Sublicense, rent, lease, sell, distribute, or transfer the Software or your license key to any third party
  • Remove or alter copyright, trademark, or other proprietary notices in the Software
  • Use the Software to build a hosted, multi-tenant SaaS product that competes directly with mvnoalliance.com

Enterprise licensees receive source code access; that source is provided under the same restrictions as this EULA unless a separately signed source license agreement says otherwise.

5. Self-hosting and data

You are solely responsible for the operation, security, backup, and maintenance of your installation. The Software does not transmit any usage data or telemetry to Licensor. License validation is performed locally against a public key.

6. Third-party components

The Software includes open source components subject to their own licenses (notably MIT, Apache 2.0, BSD, and ISC). A complete list with attribution is included in the distribution under licenses/THIRD_PARTY.md. Nothing in this EULA limits rights granted to you by those licenses.

7. Warranty disclaimer

The Software is provided "as is", without warranty of any kind. Licensor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, Licensor's total liability under this EULA is limited to the amount you paid for the license. Licensor is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business interruption.

9. Termination

This EULA is effective until terminated. Licensor may terminate it if you materially breach it and fail to cure the breach within 30 days of notice. On termination, you must stop using the Software; however, sections 4 (Ownership), 7 (Warranty), 8 (Liability), and 10 (Governing law) survive.

10. Governing law

This EULA is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.

11. Entire agreement

This EULA, together with our Terms of Service and any separately signed support or source-code agreements, constitutes the entire agreement between you and Licensor regarding the Software.
